अभिकरण की संविदा क्या है? (अध्याय 10, सेक्शन 182-238)-part 25
क्या प्रीविटी ऑफ कांट्रैक्ट अभिकरण की संविदा पर लागू होता है?
प्रीविटी ऑफ कांट्रैक्ट की अवधारण के अनुसार संविदा के पक्षकारों के बीच ऐसा संविदात्मक संबंध होता है कि वे एक-दूसरे के विरूद्ध वाद ला सकते है, लेकिन ऐसा कोई व्यक्ति जो संविदा का पक्ष नहीं हो उस संविदा के पालन के उसके भंग से हुए हानि की प्रतिपूर्ति के लिए न्यायालय में वाद नहीं ला सकता है।
लेकिन अभिकरण के संविदा में मालिक अपने अभिकर्ता के कार्य के लिए और उसके द्वारा की गई संविदाओं के लिए उसी तरह जिम्मेदार होता है जैसे कि यह उसके स्वयं के द्वारा किया गया हो। इसलिए प्रीविटी ऑफ कांट्रैक्ट (privity of contract) के सामान्य नियम का यह अपवाद है।
वास्तव में अभिकरण संविदा का एक विशेष प्रकार होता है जिसमें मालिक अभिकर्ता के द्वारा संविदा करता है। नीलामीकर्ता (Auctioneers), आढ़तिया (Factor), दलाल (Brokers), प्रत्यापक अभिकर्ता (Del Creder Agents) इत्यादि अभिकर्ता के उदाहरण है ।
(प्रत्यापक अभिकर्ता (Del Creder Agents) (यह एक वाणिज्यिक अभिकर्ता होता है जो कुछ अतिरिक्त कमीशन, जिसे प्रत्यापक कमीशन कहते हैं, के संदाय पर पर-व्यक्ति द्वारा संवदा पालन की प्रत्याभूति देता है।)
अभिकरण का प्रभाव संविदा के पर-व्यक्ति पर क्या पड़ता है (effect of agency on contracts with third party)?
धारा 226-238 में अभिकरण का पर-व्यक्ति (थर्ड पार्टी) पर प्रभाव के विषय में बताया गया है। अर्थात अगर कोई व्यक्ति किसी ऐसे व्यक्ति से संविदा करता है जो स्वयं सविदा का पक्षकार नहीं है बल्कि किसी अन्य के प्रतिनिधि के रूप में उसकी तरफ से संविदा करता है, तो उस स्थिति में संविदा के तहत उसके अधिकार क्या हैं इसके विषय में बताया गया है।
वास्तव में अभिकरण का संविदा (contract of agency) का मूल यह है कि किसी व्यक्ति (third party या पर-व्यक्ति) से संविदा अभिकर्ता (agent) करता है लेकिन संविदा मालिक और पर-व्यक्ति के लिए बाध्यकारी होता है।
अभिकर्ता दो तरह से संविदा करता है– एक मालिक के साथ, जिसके लिए वह उत्तरदायी होता है। दूसरा पर-व्यक्ति के साथ जिसके लिए वह नहीं बल्कि मालिक उत्तरदायी होता है। धारा 226 के अनुसार किसी अभिकर्ता के माध्यम से की गई संविदा के वे ही विधिक परिणाम होंगे मानों वे संविदाएँ और कार्य स्वयं मालिक द्वारा किए गए हो। उदाहरण 1, A B को प्राधिकृत करता है कि वह A के लिए कोई माल खरीदे। B C से यह माल खरीदता है लेकिन इसका मूल्य चुकाने में व्यतिक्रम (default) करता है।
C A के विरूद्ध वाद ला सकता है यद्यपि उसने A से प्रत्यक्ष रूप से कोई संविदा नहीं किया है। इसी तरह, C अगर माल देने में व्यतिक्रम करता है तो A उसके विरूद्ध वाद ला सकता है। उदाहरण 2, A B को प्राधिकृत करता है कि A ने C को जो ऋण दिया है B उसे वसूल ले। C B, जो कि A का प्राधिकृत अभिकर्ता है, को यह ऋण राशि लौटा देता है। अब C ऋण से उन्मोचित (discharged) हो जाएगा और A उसके विरूद्ध वाद नहीं ला सकेगा।
धारा 230 विशेष रूप से यह प्रावधान करता है मालिक की ओर से की गई संविदाओं के लिए कुछ अपवादों को छोड़ कर अभिकर्ता जिम्मेदार नहीं होगा। ये अपवाद निम्नलिखित हैंः
1. प्राधिकार का अतिक्रमण कर किया गया कार्य
सामान्यतः मालिक अप्राधिकृत कार्य के लिए उत्तरदायी नहीं होता है लेकिन अगर वह चाहे तो बाद में इस कार्य का अनुसमर्थन (ratification) कर सकता है। ऐसी स्थिति में वह इस कार्य के लिए उत्तरदायी हो जाएगा। अगर वह ऐसा नहीं करता है और प्राधिकृत और अप्राधिकृत कार्य अलग करने योग्य है तो मालिक का दायित्व केवल प्राधिकृत कार्य तक होगा (धारा 227)
उदाहरण– A B को प्राधिकृत करता है कि वह A के लिए 1000 रू का कोई माल खरीदे। B 1500 रू का माल खरीद लेता है। यदि A (मालिक) इसका अनुसमर्थन कर दे तो वह 1500 रू मूल्य तक के लिए उत्तरदायी होगा अन्यथा उसका उत्तरदायित्व केवल 1000 रू के लिए होगा। शेष 500 रू, जो कि प्राधिकार की सीमा से अधिक है, के लिए B (अभिकर्ता) व्यक्तिगत रूप से जिम्मेदार होगा।
धारा 228 प्राधिकार के ऐसे अतिक्रमण के लिए उपबंध करता है जहाँ प्राधिकृत या अप्राधिकृत कार्य अलग नहीं किया जा सकता है। ऐसे में मालिक सम्पूर्ण व्यवहार को अमान्य कर सकता है।
2. अभिकर्ता के कपट, दुर्व्यप्देशन और अपकृत्यपूर्ण कार्य (धारा 238)
अभिकर्ता के ऐसे कार्यों के लिए मालिक उसी तरह उत्तरदायी होता है जैसे ये कार्य उसने स्वयं किया हो बशर्ते ऐसा कार्य अभिकर्ता प्राधिकृत कार्य के क्रम में मालिक की ओर से कार्य करते हुए करे। अर्थात् अगर अभिकर्ता प्राधिकृत कार्य के क्रम में कपट या दुर्व्यप्देशन करे तो पर-व्यक्ति को इस आधार पर संविदा शून्य करने का अधिकार हो जाएगा।
अभिकर्ता के कार्य के लिए यहाँ मालिक का प्रतिनिधिक दायित्व है। यह दायित्व ‘क्यू फेसिट पर एलियम फेसिट पर से’ (qui facit per aliam facit per se) के नियम पर आधारित है जिसका तात्पर्य है कि किसी अभिकर्ता का कार्य मालिक का कार्य होता है। लेकिन अगर अभिकर्ता यह कपट या दुर्व्यपदेशन ऐसे कार्यों में करे जिसके लिए वह प्राधिकृत नहीं है तो उसका व्यक्तिगत उत्तरदायित्व होगा और मालिक इसके लिए उत्तरदायी नहीं होगा।
कपट और दुव्र्यपदेशन के अलावा मालिक अभिकर्ता द्वारा किए गए अपकृत्यों के लिए भी उत्तरदायी होता है। लेकिन ऐसे कार्यों के लिए अभिकर्ता के व्यक्तिगत दायित्व भी होता है।
3. अभिकर्ता का व्यक्तिगत दायित्व
धारा 226 और 230 से स्पष्ट है कि सामान्य परिस्थितियों में अभिकर्ता मालिक और पर-व्यक्ति के बीच जोड़ने वाला केवल एक कड़ी होता है। जब वह मालिक की ओर से किसी पर-व्यक्ति के साथ वह संविदा करता है तो मालिक और पर-व्यक्ति के बीच संविदात्मक संबंध उत्पन्न हो जाता है लेकिन अभिकर्ता का व्यक्तिगत रूप से उत्तरदायित्व नहीं रहता है।
वह न तो मालिक के लिए की गई संविदा को व्यक्तिगत रूप से प्रवर्तित कर सकता है और न ही उसके लिए आबद्ध होता है। इसलिए उसके विरूद्ध विनिर्दिष्ट पालन (specific performance) के लिए वाद भी नहीं लाया जा सकता है। लेकिन धारा 230 कुछ आपवादिक दशाओं का उपबंध करता है जहाँ अभिकर्ता व्यक्तिगत रूप से उत्तरदायी होता है और उसके विरूद्ध वाद लाया जा सकता है।
अभिकरण (Agency) क्या है?
अभिकरण एक विशेष प्रकार का संविदा (contract) है जिसमे किसी व्यक्ति (प्राकृतिक या विधिक) की तरफ से (प्रिंसिपल) कोई अन्य व्यक्ति (अभिकर्ता या Agent) संविदा करता है। लेकिन इस संविदा के लिए दायित्व प्रिंसिपल का होता है। प्रीविटी ऑफ कांट्रैक्ट अर्थात किसी कांट्रैक्ट के पक्षकार ही उसे लागू करवाने के लिए न्यायालय में वाद ला सकते हैं, के सामान्य नियम का यह एक अपवाद है।
अभिकरण में अभिकर्ता (agent) और मालिक (principle) से आप क्या समझते हैं?
सेक्शन 182 के अनुसार ‘‘अभिकर्ता” वह व्यक्ति है जो किसी अन्य की ओर से कोई कार्य करने के लिए या पर-व्यक्तियों (third party) से व्यवहारों में किसी अन्य (मालिक) का प्रतिनिधित्व करने के लिये नियोजित है। वह व्यक्ति जिसके लिये ऐसा कार्य किया जाता है या जिसका इस प्रकार प्रतिनिधित्व किया जाता है, ‘‘मालिक‘‘ कहलाता है।
अभिकरण के संविदा में पर-व्यक्ति (third party) किसे कहते हैं?
अभिकर्ता अपने मालिक की ओर से जिस व्यक्ति से संविदा करता है, वह पर-व्यक्ति कहलाता है।
एक विधिमान्य अभिकरण के लिए क्या अनिवार्य शर्त है?
एक विधिमान्य अभिकरण (agency) के लिए निम्नलिखित अनिवार्य तत्त्व या लक्षण होते हैंः
1. संविदा के लिए मालिक की सक्षमता (धारा 183)
i. वह प्राप्तवय हो
ii. वह स्वस्थचित्त हो
इसके पीछे सिद्धांत यह है कि जो व्यक्ति स्वयं संविदा नहीं कर सकता (अप्राप्तवय और अस्वस्थचित्त) वह किसी अन्य (अभिकर्ता) के माध्यम से भी संविदा नहीं कर सकता है। लेकिन किसी अप्राप्तवय के अभिभावक उसकी ओर से अभिकर्ता नियुक्त कर सकता है।
संविदा के लिए अभिकर्ता की अर्हता (धारा 184)
चूँकि एक अभिकर्ता की भूमिका दो प्रकार की होती है। पहला, वह ऐसा कार्य या संविदा कर सकता है जो उसके मालिक और पर-व्यक्ति के लिए बाध्य हो। अर्थात् वह मालिक और पर-व्यक्ति के बीच केवल एक कड़ी होता है। इसलिए ये दोनों पक्ष अर्थात् मालिक और पर-व्यक्ति संविदा करने में सक्षम होने चाहिए लेकिन अभिकर्ता के लिए संविदा के लिए सक्षमता आवश्यक नहीं है।
लेकिन जहाँ तक मालिक और अभिकर्ता के बीच हुए संविदा का प्रश्न है तो यहाँ अभिकर्ता इस संविदा के लिए मालिक के प्रति उत्तरदायी होता है। इसलिए इस संविदा के लिए अभिकर्ता का स्वयं भी संविदा करने में सक्षम होना आवश्यक है।
अर्थात् अगर एक अप्राप्तवय अभिकर्ता के माध्यम से मालिक और पर-व्यक्ति के बीच कुछ संविदा पूर्णतः विधिमान्य है क्योंकि संविदा के दोनों पक्षकार (मालिक और पर-व्यक्ति) संविदा करने के लिए सक्षम हैं लेकिन स्वर्य अभिकर्ता अप्राप्तवय होने के कारण संविदा के लिए सक्षम नहीं है और इसलिए मालिक के प्रति उसका उत्तरदायित्व नहीं होगा यानि मालिक उसके विरूद्ध कोई वाद नहीं ला सकता है।
प्रतिफल (consideration) आवश्यक नहीं (धारा 185)
एक विधिमान्य संविदा के लिए सामान्य स्थितियों में प्रतिफल आवश्यक होता है। लेकिन अभिकरण की संविदा इसका अपवाद है। इसके लिए प्रतिफल आवश्यक नहीं है। इसका कारण यह है कि एक तो मालिक अभिकर्ता द्वारा किए गए कार्यों या संविदाओं से बाध्य होता है दूसरा वह अभिकर्ता को क्षतिपूर्ति करने के लिए भी बाध्य है। इसलिए अभिकरण के लिए अलग से किसी प्रतिफल की आवश्यकता नहीं होती है।
अभिकरण की संविदा के लिए यह आवश्यक नहीं है कि इस संविदा मे अभिकर्ता शब्द का प्रयोग हुआ हो। बल्कि यह उसके प्रकृति से निश्चित किया जाता है कि इसमे अभिकरण था या नहीं। यह भी संभव है कि अभिकर्ता शब्द का प्रयोग संविदा में हुआ हो लेकिन संविदा का स्वरूप अभिकरण की पुष्टि नहीं करता हो। कभी-कभी अभिकरण का स्वरूप नियोजन या लाइसेंस से मिलता जुलता होता है लेकिन इन तीनों में मौलिक अंतर होता है।
अभिकरण (यानि अभिकरण की संविदा) का निर्माण किस तरह होता है?
अभिकरण का सृजनः पाँच प्रकार से हो सकता है–
- मालिक शब्द द्वारा अभिकर्ता को प्राधिकृत करे (by express authority) (धारा 186, 187)
- मालिक कार्यों द्वारा अर्थात् विवक्षित रूप से उसे प्राधिकृत करे (by implied authority) (धारा 186, 187, 188)
- अनिवार्यता के द्वारा प्राधिकार (by necessity)
- मालिक पर-व्यक्तियों में यह विश्वास उत्पन्न कर दे कि अभिकर्ता उस कार्य के लिए प्राधिकृत था (by estoppel) (धारा 237)
- अप्राधिकृत कार्य का बाद में अनुसमर्थन द्वारा (by ratification) (धारा 196-200)
- विधि द्वारा (by application of law)
अगर कोई अभिकर्ता मालिक द्वारा दिए गए प्राधिकार का अतिक्रमण कर पर-व्यक्ति से कोई संविदा कर लेता है, तब ऐसी स्थिति में उस पर-व्यक्ति के पास मालिक के विरुद्ध संविदा को लागू करवाने का क्या अधिकार होता है?
अभिकर्ता के विवक्षित प्राधिकार का विस्तार हर ऐसी विधिपूर्ण कार्य करने तक होता है जो उसको सौपें गए कार्य को करने के लिए आवश्यक हो। (धारा 188) अगर मालिक ने उसे ऐसा करने से प्रतिरोधित कर दिया हो, तब भी पर-व्यक्ति के संबंध में यह तब तक बना रहेगा जब तक कि पर-व्यक्ति को इस निषेध का ज्ञान न हो।
अर्थात जब तक पर-व्यक्ति को यह ज्ञान न हो जाय कि अभिकर्ता प्रतिषेधित कर दिया गया है जब तक मालिक का दायित्व बना रहेगा उसके प्रति।
अगर मालिक के आचरण से पर-व्यक्ति की यह धारणा बन जाती है कि अभिकर्ता को वह कार्य करने के प्राधिकार है जबकि वास्तव में अभिकर्ता को वह प्राधिकार नहीं होता है तो भी मालिक बाध्य होता है और उसे विबन्ध के सिद्धांत (doctrine of esstoppel) द्वारा रोका जाता है।
यह सिद्धांत धारा 237 में अन्तर्विष्ट है। धारा 189 आपातकाल में अभिकर्ता को हानि से बचाने के लिए उस तरह से कार्य करने के लिए प्राधिकृत करता है जैसा कि कोई साधारण प्रज्ञा वाला व्यक्ति अपने मामले में वैसी ही परिस्थितियों करता।
ऐसे सभी परिस्थियों मे यद्यपि अभिकर्ता मालिक द्वारा प्राधिकृत नहीं होने पर भीं कार्य करता है लेकिन इससे मालिक का उसके दायित्व पर प्रभाव नहीं पड़ता अर्थात वह उस संविदा का पालन करने के लिए बाध्य होता है और इसलिए पर-व्यक्ति को यह अधिकार होता है कि संविदा का पालन करवाने के लिए न्यायालय से माँग कर सकता है।
अनुसमर्थन (ratification) क्या है?
भारतीय संविदा अधिनियम के सेक्शन 196-200 अनुसमर्थन (Ratification) से संबंधित उपबंध किए गए हैं। जब कोई अभिकर्ता ऐसा कार्य करता है जिसके लिए वह प्राधिकृत नहीं था। ऐसी स्थिति में मालिक के पास दो विकल्प होतें हैं– या तो वह उस कार्य का (1) अनंगीकरण (void) कर दे या (2) उसका अनुसमर्थन (ratification) कर दे।
पहली स्थिति अर्थात् अनंगीकरण की स्थिति में मालिक का कोई दायित्व नहीं होता है बल्कि अभिकर्ता व्यक्तिगत रूप से उत्तरदायी होता है। लेकिन अगर वह अनुसमर्थन कर देता है तो इसके लिए मालिक उत्तरदायी हो जाता है भले ही कार्य करने के समय दोनों के बीच मालिक-अभिकर्ता संबंध नहीं था।
यह संविदा अनुमोदन की तिथि से नहीं बल्कि संविदा होने की तिथि से लागू होती है बशर्ते संविदा में अनुसमर्थन के बाद होने की बात लिखी न गई हो अनुसमर्थन पूववर्ती प्रभाव के सिद्धांत के अनुसार लागू होता है।
अनुसमर्थन के लिए निम्नलिखित अनिवार्य तत्त्व हैः
- कार्य अभिकर्ता ने मालिक की ओर से किया हो (धारा 196);
- मालिक कार्य करते समय विद्यमान और संविदा करने में सक्षम हो;
- अनुसमर्थन अभिव्यक्त या विवक्षित हो सकता है (धारा 197);
- अनुसमर्थन तत्त्वों के पूर्ण ज्ञान के साथ हो (धारा 199);
- अनुसमर्थन किए गए कार्य पर-व्यक्ति के लिए क्षति पहुँचाने वाले नहीं हो; (धारा 200)
- अनुसमर्थन एक युक्तियुक्त समय के भीतर किया जाना चाहिए।
उपाभिकर्ता (sub-agent) से आप क्या समझते हैं?
धारा 190-195 उप-अभिकर्ता के विषय में बताता है। धारा 191 उपाभिकर्ता की परिभाषा देता है ‘‘उपाभिकर्ता वह व्यक्ति है जो अभिकरण के कारबार में मूल अभिकर्ता द्वारा नियोजित हो और उसके नियंत्रण के अधीन कार्य करता है। उपाभिकर्ता के कार्यों के संबंध में जिम्मेदारी के संबंध में प्रावधान धारा 192 और 193 करता है। धारा 192 जब उपाभिकर्ता उचित तौर पर नियुक्त हो और धारा 193 जब वह उचित तौर पर नियुक्त नहीं हो के संबंध मे बताता है।
सामान्य नियम यह है कि अभिकर्ता अपने कर्तव्यों को प्रत्यायोजित (delegate) नहीं कर सकता है (धारा 190)। कारण यह है कि मालिक-अभिकर्ता संबंध विश्वास और न्यास पर आधारित होने के कारण व्यक्तिगत होता है। और इसलिए अभिकर्ता कोई उपाभिकर्ता (sub-agent) नियुक्त नहीं कर सकता है ।
लेकिन यही धारा (धारा 190) इसके दो अपवाद भी बताती है जब अभिकर्ता द्वारा उपाभिकर्ता नियुक्त करना विधिमान्य होता है। ये दो आपवादिक स्थितियाँ है:
1. जबकि उस कार्य के लिए व्यापार की कोई ऐसी रूढ़ि जिसमें उपाभिकर्ता नियुक्त किया जाना मान्य हो।
2. जब अभिकरण की प्रकृति ऐसी हो जिसमें उपाभिकर्ता की नियुक्ति अपेक्षित हो।
उपर्युक्त के अतिरिक्त दो स्थितियाँ और होती है जहाँ उपाभिकर्ता नियुक्त किया जा सकता है:
3. जब कोई कार्य व्यक्तिगत कुशलता की अपेक्षा नहीं करता हो, और
4. जब मालिक अभिव्यक्त या विवक्षित रूप से उपाभिकर्ता की नियुक्ति के लिए सहमत हो जाता है जो अन्यथा अभिकर्ता को दिया गया था। लेकिन इस मामले में भी नियंत्रण अभिकर्ता का ही होगा।
उपाभिकर्ता के क्या दायित्व होते हैं?
उपाभिकर्ता व्यक्तिगत रूप से मालिक के प्रति नहीं बल्कि अभिकर्ता के प्रति उत्तरदायी होता है क्योंकि उसका मालिक से कोई संविदात्मक संबंध नहीं होता है। उसके कार्यों के लिए अभिकर्ता मालिक के प्रति उत्तरदायी होता है। इसलिए उपाभिकर्ता पर नियंत्रण रखना अभिकर्ता का दायित्व हो जाता है। लेकिन मालिक पर-व्यक्तियों (third party) के साथ उपभिकर्ता द्वारा किए गए संविदा या कार्यों के लिए जिम्मेदार होता है।
अगर मालिक के इच्छानुसार उसके प्राधिकार से अभिकर्ता किसी व्यक्ति की नियुक्ति अभिकर्ता के कार्यों को करने के लिए किया जाता है तो उसे प्रतिस्थापित अभिकर्ता (substituted agent) कहते हैं। यह यद्यपि अभिकर्ता द्वारा नियुक्त होता है लेकिन उपाभिकर्ता से भिन्न होता है। क्योंकि वह मालिक का अभिकर्ता माना जाता है और मालिक और प्रतिस्थापित अभिकर्ता के बीच संविदात्मक संबंध होते है।
इसलिए वह अपने कार्यों के लिए प्रत्यक्ष रूप से मालिक के प्रति उत्तरदायी होता है और मालिक पर-व्यक्तयों से उसके कार्यों (संविदा) के लिए बाध्य होता है (धारा 194, 195)।
जब उपाभिकर्ता उचित रूप से नियुक्त होः
1. मालिक उपाभिकर्ता के सभी कार्यों के लिए उत्तरदायी है और उसके लिए पर-व्यक्ति के प्रति बाध्य है।
2. अभिकर्ता उसके कार्यों के लिए मालिक के प्रति जिम्मेदार हैं।
3. उपाभिकर्ता अपने सभी कार्यों के लिए अभिकर्ता के प्रति उत्तरदायी है, मालिक के प्रति नहीं केवल कपट और जानबूझ कर किए गए कार्यों के लिए मालिक के प्रति उत्तरदायी होता है।
जब उपाभिकर्ता उचित रूप से नियुक्त नहीं होः
1. अभिकर्ता उसके कार्यों के प्रति मालिक और पर-व्यक्ति के प्रति उत्तरदायी होता है।
2. उपाभिकर्ता के कार्यों के लिए मालिक का कोई दायित्व नहीं होता है।
उपाभिकर्ता (उप-अभिकर्ता sub-agent) और प्रतिस्थापित अभिकर्ता (substituted agent) में क्या अन्तर है?

मालिक के प्रति अभिकर्ता के क्या कर्तव्य हैं?
सेक्शन 211-221 तक में मालिक (principal) के प्रति कर्तव्य से संबंधित प्रावधान है।
1. अपने कर्तव्यों को प्रत्यायोजित न करने का कर्तव्य (धारा 190)। उपाभिकर्ता इसका अपवाद है।
2. मालिक के निर्देशों का अनुसरण करने का कर्तव्य (धारा 211)
3. उचित कौशल और देखभाल दिखाने का कर्तव्य (धारा 212)
4. उचित लेखा देने का कर्तव्य (धारा 213)
5. मालिक से सम्पर्क रखने का कर्तव्य (धारा 214)
6. अपने लेखे व्यवहार न करने का कर्तव्य (धारा 215, 216)
7. मालिक के निमित्त प्राप्त राशियों के संदाय का कर्तव्य (धारा 217, 218)
धारा 215 एक सामान्य नियम बताता है कि अभिकर्ता अपने लेखे (account) का प्रयोग अभिकरण के कार्यों के लिए न करे जब तक कि मालिक इसके लिए पूर्व सम्मति न दे। अगर वह मालिक की सम्मति के बिना ऐसा करता है तो मालिक को यह धारा दो अधिकार देती है-
1. संव्यवहार (transaction) विखण्डित कर दे। इसके लिए उसे ये दो तत्त्व दर्शाना होगा:
i. अभिकर्ता ने कोई तात्त्विक तथ्य बेइमानी से उससे छिपाया है। और
ii. अभिकर्ता का व्यवहार मालिक के लिए अहितकर है।
2. अभिकर्ता से उस लाभ का दावा (claim) करे जो अभिकर्ता को उस संव्यवहार (transaction) से हुआ है (धारा 216) ।
अभिकर्ता के प्रति मालिक का कर्तव्य (Principal’s duty to agent) क्या हैं?
अथवा, अभिकर्ता के क्या अधिकार हैं?
भारतीय संविदा अधिनियम सेक्शन 222-225 के अनुसार अभिकर्ता के वही अधिकार हैं जो मालिक के कर्तव्य हैं। अभिकर्ता के अधिकार निम्नलिखित हैं:
1. पारिश्रमिक पाने का अधिकार (धारा 219) (किन्तु अवचारित कार्य के लिए कोई पारिश्रमिक देय नहीं है)
2. राशियों के प्रतिधारण (retain) का अधिकार (धारा 217, 218)
3. मालिक की सम्पत्ति पर धारणाधिकार (lien) का अधिकार (धारा 221)
4. क्षतिपूर्ति (to be indemnified) का अधिकार (धारा 222-224) (इसमें तीन तरह के क्षतिपूर्ति का प्रावधान यह अधिनियम करता है:
i. विधिपूर्ण कार्यों के लिए क्षतिपूर्ति (धारा 222)
ii. सिविल दोषों के लिए क्षतिपूर्ति (धारा 223), और
iii. दाण्डिक अपराधों के मामले के कोई क्षतिपूर्ति नहीं (धारा 224)
5. मलिक की उपेक्षा से कारित क्षति के लिए प्रतिकर का अधिकार (धारा 225)
धारा 233 और 234 के अनुसार जिन मामलों में अभिकर्ता व्यक्तिगत रूप से जिम्मेदार होता है उसमे पर-व्यक्ति या तो या तो उस अभिकर्ता के, या मालिक के, या फिर दोनों के विरूद्ध वाद ला सकता है, बशर्ते उस पर-व्यक्ति ने यह करार नहीं किया हो कि वह उनमें से सिर्फ एक को उत्तरदायी ठहराएगा और अन्य के विरूद्ध वाद नहीं लाएगा।
अभिकरण समाप्त कैसे होता है (Termination of agency)?
धारा 201 छः स्थितियाँ बताती है जब अभिकरण समाप्त हो सकता है। ये हैं–
- मालिक द्वारा अभिकर्ता के प्राधिकार का प्रतिसंहरण;
- अभिकर्ता द्वारा त्यजन;
- अभिकरण के कार्य का पूर्ण हो जाना;
- मालिक का मर जाना या विकृतचित्त हो जाना;
- मालिक के दिवालिया जाना;
- अभिकर्ता की मृत्यु या विकृतचित्त हो जाना।
अभिकरण का प्रतिसंहरण (Revocation of authority) कैसे होता है?
इंडियन कांट्रैक्ट एक्ट के सेक्शन 201-210 में इससे संबंधित उपबंध हैं। अभिकरण के प्राधिकार के प्रतिसंहरण के विषय में निम्नलिखित नियम हैः
- प्रतिसंहरण अभिव्यक्त या विवक्षित हो सकता है (धारा 307);
- अगर अभिकर्ता का विषय-वस्तु में हित हो तो प्रतिसंहरण नहीं किया जा सकता है (धारा 202);
प्रतिसंहरण तभी किया जा सकता है जब तक कि अभिकरण द्वारा दिए गए प्राधिकार का प्रयोग अभिकर्ता ने नहीं किया हो (धारा 203) लेकिन अगर अभिकर्ता ने इसके कुछ भाग का प्रयोग कर लिया हो, तो किए जा चुके कार्यों से उत्पन्न होने वाले कार्यों और बाध्यताओं के संबंध में अभिकरण का प्रतिसंहरण नहीं किया जा सकता है (धारा 204) अर्थात् मालिक उससे आबद्ध होगा।
यदि अभिकरण किसी निश्चित अवधि के लिए किसी विवक्षित या अभिव्यक्त संविदा द्वारा उत्पन्न हो और मालिक बिना न्यायोचित कारण के समयपूर्व प्रतिसंहरण कर ले, या अभिकर्ता स्वयं अभिकरण छोड़ दे ऐसी स्थिति में प्रतिसंहरण या त्यजन करने वाला पक्ष दूसरे पक्ष को प्रतिकर देगा (धारा 205)।
यदि मालिक किसी न्यायोचित कारण कारण से भी प्राधिकार का प्रतिसंहरण करता है तो उसे अभिकर्ता को युक्तियुक्त सूचना देनी होगी। ऐसा नहीं करने पर अभिकर्ता को होने वाली हानि की प्रतिपूर्ति उसे करनी होगी (धारा 206)।
मालिक की मृत्यु या उन्मत्तता के द्वारा अभिकरण की समाप्ति के बाद भी अभिकर्ता का यह कर्तव्य होगा कि उसे सौंपे गए मालिक के हितों के संरक्षण और परिरक्षण के लिए मालिक की प्रतिनिधियों की ओर से युक्तियुक्त कदम उठाए।
अभिकर्ता के प्राधिकार की समाप्ति से उसके द्वारा नियुक्त उप-अभिकर्ता का प्राधिकार भी समाप्त हो जाएगा (धारा 210)।
अभिकरण की समाप्ती कब प्रभावी होती है?
धारा 208 के अनुसार अभिकरण की समाप्ति प्रभावी होता हैः
1. अभिकर्ता के विरूद्ध जब उसे इस तथ्य का ज्ञान होता है।
2. पर-व्यक्तियों के विरूद्ध जब उन्हें यह ज्ञात हो जाता
है।
